3. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information necessary for project completion. This includes but is not limited to: content, images, logos, brand guidelines, and access credentials. Clients must review and approve deliverables within specified timeframes. Delays in client feedback or provision of materials may result in project timeline extensions. Clients are responsible for maintaining backups of any content provided to us and for ensuring they have appropriate rights to all materials submitted.

4. Payment Terms

All prices are quoted in Australian Dollars (AUD) and include GST where applicable. Payment terms vary by package: Starter and Professional packages require 50% deposit upon project commencement with the balance due upon completion. Enterprise packages follow a milestone-based payment schedule. Invoices are payable within 7 days of issue unless otherwise agreed in writing. Late payments may incur interest charges at the rate of 2% per month. We reserve the right to suspend work on projects with overdue payments and to retain ownership of all work until full payment is received.

5. Intellectual Property Rights

Upon full payment, clients receive ownership of the final website design and custom code developed specifically for their project. However, we retain rights to any pre-existing materials, templates, frameworks, libraries, or tools used in development. Clients grant us permission to showcase completed projects in our portfolio unless specifically requested otherwise in writing. We retain the right to use general knowledge, techniques, and methodologies developed during your project for other clients. Third-party elements (stock photos, fonts, plugins) remain subject to their respective licenses.

6. Revisions and Changes

Each package includes a specified number of revision rounds during the design phase. Additional revisions beyond the included amount will be billed at our standard hourly rate of $95/hour. Requests for changes after project completion or outside the scope of the original agreement will be quoted separately. We make every effort to accommodate reasonable change requests, but significant scope changes may require timeline and budget adjustments. All change requests must be submitted in writing via email.

7. Project Timelines

Estimated project timelines are provided in good faith based on current workload and standard project requirements. Actual completion dates depend on timely client feedback, content provision, and approval of deliverables. We are not liable for delays caused by client-side factors, third-party service providers, or circumstances beyond our reasonable control. Force majeure events, technical issues with hosting providers, or other unforeseen circumstances may necessitate timeline adjustments.

8. Warranties and Limitations

We warrant that services will be performed with reasonable care and skill in accordance with industry standards. We guarantee that websites will function as designed on modern browsers and devices at the time of delivery. However, we do not warrant compatibility with future browser updates, third-party plugin changes, or hosting environment modifications. Our liability is limited to the total amount paid for services rendered. We are not liable for indirect, consequential, or incidental damages arising from use of our services.

9. Confidentiality

Both parties agree to keep confidential any proprietary information exchanged during the course of the project. This obligation survives termination of the service agreement. Clients acknowledge that general web development methodologies, techniques, and non-proprietary knowledge gained during projects are not considered confidential.

10. Termination

Either party may terminate the agreement with 14 days written notice. Upon termination, clients are responsible for payment for all work completed to date based on project milestones achieved. We reserve the right to terminate services immediately in cases of non-payment, abusive behavior, or violation of these terms. Upon termination, we will provide clients with all completed work in its current state, subject to payment of outstanding invoices.

11. Governing Law

These Terms of Service are governed by the laws of the Australian Capital Territory and the Commonwealth of Australia. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of the Australian Capital Territory.
